1. Introduction
Welcome to UAB Vault4x ("Vault4x", "we", "us", or "our"), a secure vaulting infrastructure provider for fintech companies and regulated platforms. These Terms and Conditions ("Terms") govern your access to and use of the Vault4x website, APIs, and related services (the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you may not use our Services.
2. Definitions
- "Vault4x" refers to the legal entity registered in Lithuania with operational presence and remote international jurisdictions.
- "Customer" or "you" means the business entity entering into this agreement.
- "Data" refers to sensitive information provided by the Customer, including but not limited to credit card numbers (PAN), tokens, KYC/ID information, and metadata.
- "Tokenization" refers to the replacement of sensitive Data with secure, non-sensitive equivalents (tokens) stored in the Vault4x environment.
3. Services Overview
Vault4x provides infrastructure for tokenization and secure storage of sensitive payment and identity data. Services do not include payment processing, authorization, settlement, or disbursement.
Our Services are offered as software-as-a-service (SaaS) tools for developers, platforms, and regulated entities seeking PCI DSS–compliant vaulting and tokenization.
4. Eligibility and Access
You may use the Services only if you:
- Are legally capable of entering into binding contracts.
- Are acting on behalf of a business or legal entity.
- Comply with these Terms and applicable law.
We reserve the right to suspend or terminate accounts that violate these conditions.
5. Data Usage and Protection
Vault4x is PCI DSS Level 1 certified. All Data is encrypted in transit and at rest using industry-standard protocols. Customers remain the Data Controllers and are responsible for:
- Determining the lawful basis for collecting Data.
- Ensuring end-user rights under GDPR or equivalent regulations.
- Complying with data retention and cross-border laws.
Vault4x may retain Data only for the duration of service delivery or as required by applicable local law.
6. Customer Responsibilities
You are solely responsible for:
- Securing your API keys and credentials.
- Ensuring that your systems comply with relevant laws.
- Providing accurate account and billing information.
You must not:
- Use the Services for any illegal or unauthorized purpose.
- Attempt to gain unauthorized access to Vault4x systems.
- Transmit malware, spyware, or malicious code.
7. Service Levels and Availability
Vault4x strives for 99.99% uptime and high availability through multi-region redundancy and real-time failover systems. In the event of a critical incident, customers will be notified promptly.
Service Level Agreements (SLAs) may be issued separately.
8. Pricing and Billing
Pricing is based on usage tiers and outlined in the contract between Vault4x and the Customer. Unless otherwise agreed:
- Fees are billed monthly in advance in EUR, USD, or AED.
- Payment is due within 30 days of invoice.
- Late payments incur a 2% monthly interest.
Vault4x reserves the right to change pricing with 60 days' notice.
9. Intellectual Property
All intellectual property rights in the Services and related software, documentation, and branding are owned or licensed by Vault4x. Customers may not copy, reverse-engineer, or create derivative works of Vault4x technologies.
10. Confidentiality
Each party agrees to:
- Maintain the confidentiality of proprietary information.
- Use such information only for purposes of this agreement.
- Take reasonable measures to prevent unauthorized disclosure.
11. Disclaimer of Warranties
The Services are provided "as is" without warranties of any kind, including merchantability, fitness for a particular purpose, or non-infringement. Vault4x does not warrant that the Service will be uninterrupted or error-free.
12. Limitation of Liability
Vault4x shall not be liable for indirect, incidental, or consequential damages. Total liability shall not exceed the fees paid by the Customer in the twelve (12) months prior to the claim.
13. Indemnification
You agree to indemnify and hold harmless Vault4x and its affiliates from claims, damages, losses, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or infringement of any rights.
14. Export Controls and Sanctions
You may not use or export the Services in violation of applicable export control laws or sanctions, including those of the EU and the U.S.
15. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Republic of Lithuania. Any disputes shall be subject to the exclusive jurisdiction of the courts of Vilnius, Lithuania.
16. Termination
Either party may terminate this agreement with 30 days' written notice. Upon termination:
- Customer data will be retained for up to 30 days for export.
- Access to tokens and vaults will be revoked.
- Outstanding fees become immediately due.
17. Modifications to Terms
Vault4x may modify these Terms with at least 15 days' notice. Continued use of the Services after changes indicates acceptance.
